How to Create a Consulting Agreement
Set consulting scope, retainers, client responsibilities and decision rights without confusing advice with guaranteed results or employee status.
This guide is general information, not legal advice. Laws differ by province, territory and state — have a lawyer licensed where you operate review agreements with significant money or risk attached.
Distinguish advice from implementation
A consulting agreement should explain what expertise the consultant will provide and what the client will receive. Advice, workshops and analysis are different from implementing a system or guaranteeing a business result. Write the actual engagement instead of borrowing a production contract and replacing the job title.
Identify the parties, their contacts and any project sponsor authorized to approve work. State the business question, but avoid promising a result beyond the consultant’s control. “Analyze customer churn and recommend retention options” is more precise than “increase revenue by 30%.” If implementation is included, identify it separately.
For an ongoing working relationship, read our contractor-status guide. A consulting label does not decide employment or tax status.
Specify activities, deliverables and client inputs
List interviews, workshops, research, written reports and presentations. Define the covered period, delivery dates and assumptions about available information. A report based on incomplete records should not be silently treated as an audit or certification.
Explain what the client must provide: data, access, relevant employees, approvals and a decision-maker. State how delays or missing information affect the schedule. The consultant may recommend an option while the client retains the decision to implement it; make that responsibility visible.
Distinguish routine clarification from a new engagement. Additional interviews, new departments or implementation support may require a change approval. Define the process before extra work begins rather than treating every follow-up conversation as either free or automatically billable.
Make retainer economics unambiguous
Choose hourly, fixed-fee or retainer pricing. A retainer can pay for included services, reserved availability or another defined arrangement; the word alone does not explain the entitlement. State the billing period, included hours or outputs, overage rate, expenses and currency.
Illustrative example: a CAD $3,000 monthly retainer includes up to 15 advisory hours and one management workshop. Specify whether workshop time counts toward those hours, whether unused hours expire or carry forward and whether extra hours require written approval. Without those details, the parties can disagree about the same invoice even when they agree on the rate.
Define how time is recorded and how disputed charges are raised. For fixed fees, connect payments to clear milestones. Avoid a success-fee formula without identifying the measurement, baseline and attribution questions—and obtain advice if the work is regulated.
Separate deliverable rights from reusable methods
Identify who owns or can use the final report, presentation and other materials. Distinguish the client’s confidential information from the consultant’s existing methods, templates and know-how. Define any licence needed to use embedded materials and address third-party rights.
Canadian Copyright Act section 13 addresses ownership and signed-writing requirements for assignments or grants covered by its provision. Payment alone should not be described as automatically transferring all rights. US work-made-for-hire rules also should not be assumed to cover every commissioned report.
Address confidentiality, data access, authorized subcontractors and conflicts of interest. For sensitive information, consider a separate NDA. A generic confidentiality promise does not resolve privacy, professional or data-transfer requirements.

Classification
The IRS describes behavioral control, financial control and the parties’ relationship for federal employment-tax classification. CRA’s Quebec guidance uses a Civil Code-based analysis and stresses actual facts rather than contractual labels. Those sources do not resolve every provincial employment or US state wage-law question.
If the client controls daily methods, hours and equipment and the consultant works indefinitely like an employee, get advice. Do not write fictional independence statements simply to support the chosen label.
Ending the engagement
State notice, treatment of completed work, return of client information and a practical transition process. Identify any unfinished deliverables and approved expenses. Liability caps, disclaimers and restrictive covenants deserve proportionate legal review; a broad disclaimer does not guarantee immunity for negligent or unlawful work.
Review, sign and keep the agreed version
Read the complete agreement, not only the signature page. Compare every amount and date with the proposal or messages you agreed on. Remove placeholders, identify attached schedules, and make sure both parties have the same version. A signature should record agreement to settled terms rather than postpone difficult decisions.
Check whether the document or your jurisdiction requires particular execution, witnessing, notarization, disclosure or filing steps. Electronic signing does not remove those separate requirements. For ordinary documents, retain the agreed PDF and relevant communications in a form you can access later. Do not silently edit a signed version: document subsequent changes in an amendment accepted by the relevant parties.
See our guide to signing a PDF online for the practical signing stage. A signed document is evidence of an arrangement, not a guarantee that every provision is enforceable.
